Important Details:

• Eligibility: To enter the giveaway, you must be 18 years or older and reside in a jurisdiction supported by Topper. Unfortunately, residents of New York, Florida, US Virgin Islands, the United Kingdom and all other Jurisdictions where sweepstakes are blocked are not eligible. Additionally, you must be an active Topper user with a verified identity and have completed at least one successful transaction using the Topper widget. Your Topper account must remain in good standing throughout the giveaway period and during prize distribution.
• Entry period: The giveaway will run on one random day in each of the months of September, October, November, and December 2025. Each will last for a 24-hour period. .
• How It Works: A new giveaway post will be published on each BuyDay from September through December, giving you four opportunities to win.

TOPPER LEDGER BUYDAY 2025 GIVEAWAY TERMS AND CONDITIONS

Who Can Enter

Topper Giveaway - Win a Limited Edition Topper by Uphold Co-Branded Ledger Nano X Wallet, valued at US$100 (the “Prize”) is open to all natural persons who:

• All jurisdictions where Topper by Uphold is available, excluding New York, Florida, US Virgin Islands, the United Kingdom and all other Jurisdictions where sweepstakes are blocked.
• are 18 or older at the time of entry; and,
• are active users of Topper and have successfully verified their identity (IDV) and completed certain Topper “know your customer” procedures;
• Are an individual (not business) customer of Topper in good standing at the time the Promotion Reward is distributed.

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Giveaway.

Promotional Period

The Giveaway will run on one random day in each of the months of September, October, November, and December 2025 (each, a “Promotional Day”). Each Promotional Day will begin at 10:00AM Eastern Time (US) and will last for a twenty-four (24) hour period. To qualify for an entry, all transactions must be successfully executed on the Topper™ by Uphold by 9:59AM Eastern Time (US) on the applicable Promotional Day. Any pending transactions will not be considered for entry.

How to Enter

NO PURCHASE NECESSARY

To be eligible, you need to have an X account and an active Topper account in good standing. Additionally you must follow @TopperbyUphold on X, and Like 1 of the giveaway posts. Completing these steps grants you one (1) entry in the draw.

Entries are granted only for fully completed steps. No entries are granted for engagements that have not completed all steps required. Engaging with multiple posts does not grant multiple entries. Only 1 entry per account will be granted.

Random Draw

Five (5) entries will be selected within 72 hours of the end of each Promotional Day in a random draw from among all eligible entries received during the Promotional Day. The winners will then receive a Direct Message (DM) on X from the official Topper account (@TopperByUphold) informing them that they have won the Giveaway and will need to complete a form providing Topper account ID and additional required details. Topper™ by Uphold reserves the right to require proof of age and jurisdiction of residence prior to awarding any prize.

Prizes

Up to Five (5) grand prize winning entries will be randomly selected after Topper & X account verification in a draw held within 72 hours of the end of each Promotional Day (for a total of twenty (20) grand prizes across the whole Promotional Period) from all eligible entries to win a Limited Edition Topper by Uphold Co-Branded Ledger Nano X Wallet, valued at US$100 (the “Prize”). All prizes are non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded. The odds of winning are dependent upon the number of eligible entries received.

Winner Notification and Prize Delivery

The selected winners will be notified via direct message on X within 72 hours of the draw ending. The selected winners must acknowledge receipt of the notification, confirm acceptance of these Terms and Conditions, and complete the information provided with the requested information. If no response is obtained within 7 days of notification, the prize will be forfeited and may be awarded to an alternate winner in a random draw selected from the remaining eligible entries. The prize will be delivered to the winners’ address of choice within thirty (30) days of receipt of acknowledgement and completion of additional form from the winner.

General

The winners are responsible for any costs associated with claiming any prize. The winners are solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in this Giveaway.

Prizes must be accepted as awarded with no substitutions. Topper by Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Topper by Uphold is not responsible for technical or computer errors, or for late, misidentified or incomplete transactions. Any transactions reasonably deemed to be fraudulent may be disqualified in the sole discretion of Topper by Uphold. This includes any transaction that does not comply with these Giveaway Terms and Conditions in any respect. Decisions of Topper by Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Giveaway. Topper by Uphold reserves the right at any time to withdraw this Giveaway or to modify, amend, or supplement these rules, in its sole discretion.

By participating in these Giveaway, winners consent to the use Topper by Uphold of their first name and last initial and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us at support@uphold.com. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The winners agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Giveaway, or by Topper by Uphold will be collected and used by Topper by Uphold and their agents for the purposes of the proper administration and fulfillment of the Giveaway as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Topper by Uphold’s Privacy Policy available at Privacy Data Policy - Topper .

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Giveaway or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Topper by Uphold in connection with the Giveaway, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.
